Everllence names Fabian Kley CFO as it prepares for ownership transition

Everllence has appointed Dr Fabian Kley as Chief Financial Officer (CFO) and a member of its Executive Board, effective 1 November 2026. The appointment formalises his leadership of the finance function as the German marine engine and industrial technology company prepares for a change in ownership involving Bain Capital.

Announced on 29 October, the decision follows Kley’s appointment as Finance Director in March 2026, when he began overseeing finance as an authorised representative of the Executive Board.

What experience does Kley bring?

Kley, 46, joined the company in 2019 and held several strategy leadership positions before becoming Senior Vice President responsible for Corporate Strategy and Mergers and Acquisitions.

Before joining Everllence, he worked at strategy consultancy Booz & Company and energy technology company Schlumberger. He holds a doctorate in energy economics from the Karlsruhe Institute of Technology and a Master of Business Administration from the University of North Carolina.

Supervisory Board Chairwoman Hauke Stars credited Kley with preparing the finance organisation for the ownership transition and improving reporting and management tools. Chief Executive Officer Uwe Lauber highlighted his contribution to corporate strategy and his operational role in preparations for the Bain Capital transaction.

What ownership change is planned?

On 25 June 2026, Volkswagen announced an exclusive arrangement under which Bain Capital would acquire 51% of Everllence. Volkswagen said it intended to retain a 49% shareholding in the medium term.

The announcement made the transaction conditional on regulatory approvals, completion of the information and consultation process in France, and other customary requirements. It projected approximately €7.4 billion in proceeds for Volkswagen from the envisaged leveraged buyout.

At that time, Everllence reported around 16,000 employees and revenue of €4.9 billion. Its activities span large engines, turbomachinery and technologies for reducing emissions across shipping, power generation and industrial operations.

What are Bain Capital’s stated priorities?

Bain Capital’s acquisition announcement identified several areas for further investment, including Everllence’s service business, naval applications, alternative-fuel technologies for shipping and power generation for data centres and industrial facilities.

The investor said it would work with Everllence’s management and Volkswagen to support these activities. It also highlighted the company’s installed equipment base and aftermarket network, comprising more than 140 locations worldwide.

For maritime customers, the stated priorities include continued development of alternative-fuel engine platforms and the services needed to support equipment throughout its operating life. These are investment intentions outlined in the transaction announcement, rather than separately announced spending commitments.

How has Everllence’s business evolved?

The company adopted the Everllence name on 4 June 2025, replacing MAN Energy Solutions. The rebranding was introduced at its Augsburg headquarters and other principal European locations, including Oberhausen, Berlin, Zurich and Copenhagen.

The name change reflected a broader business portfolio encompassing marine and power-plant engines, retrofit technologies, large heat pumps, carbon capture and storage, and hydrogen production equipment through subsidiary Quest One.

The company had previously changed its name from MAN Diesel & Turbo to MAN Energy Solutions in 2018, as it increased its focus on technologies for reducing emissions in shipping, energy generation and industry.

Everllence said the 2025 rebranding did not itself alter its products, services or ownership. The proposed Bain Capital transaction followed a year later as a separate corporate development.
